Terms of Service Version 1.0

By creating an account or using MyBizRoom, you agree to these Terms and acknowledge the Privacy Policy.
These Terms describe the responsibilities of both the customer and the service operator when using the MyBizRoom workspace.
01. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of MyBizRoom.
By creating an account, checking the acceptance box during registration, or otherwise using the service, you agree to these Terms and acknowledge the Privacy Policy.
If you are using the service on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.
02. Eligibility and Business Use
MyBizRoom is a business software service intended for legitimate business operations.
You must provide accurate registration information and must not use the service for unlawful, fraudulent or unauthorized activities.
You are responsible for ensuring that your use of the service complies with laws and regulations applicable to your business.
03. Account Registration
You must provide accurate information when creating an account and keep that information reasonably current.
Email verification may be required before access to authenticated features is enabled.
You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account.
You must notify us promptly if you reasonably believe that your account has been compromised or accessed without authorization.
04. Workspace Ownership and Access
The account owner controls the organization's workspace within the limits of the subscription and service design.
Phase 1 of the service is designed around a single owner/user per organization. Additional multi-user and invitation capabilities may be introduced in later product phases.
You must not share credentials in a manner that defeats account, security or subscription controls.
05. Your Business Data
You retain responsibility for the customer, product, order, invoice, payment and other business information that you enter into the service.
You represent that you have the necessary rights, authority and legal basis to provide such information to us for processing as part of the service.
To the extent that you provide or otherwise make personal data relating to your customers, contacts, employees, suppliers or other individuals available to MyBizRoom for the purpose of providing the service, you remain responsible for determining the purposes for which that data is collected and used and for complying with the obligations applicable to your business.
To the extent that MyBizRoom processes such personal data on your behalf in order to provide, maintain, secure and support the service, MyBizRoom will act as a data processor or service provider where applicable, and will process that data only as reasonably necessary to provide the service, follow your applicable instructions, maintain and secure the platform, prevent abuse and comply with applicable law.
You authorize MyBizRoom to use appropriate third-party service providers and subprocessors where reasonably necessary to operate the service, including providers supporting hosting and infrastructure, transactional email, payment processing and other technical functions. We will require appropriate confidentiality and security protections from such providers where applicable.
MyBizRoom will maintain reasonable technical and organizational safeguards designed to protect personal data processed through the service against unauthorized access, use, alteration, disclosure, loss or destruction. If we become aware of a security incident involving personal data processed on your behalf, we will take reasonable steps to contain and investigate the incident and cooperate with you as reasonably necessary to address applicable legal or regulatory obligations.
Where reasonably necessary for you to respond to a valid privacy request relating to personal data processed through your workspace, MyBizRoom will provide reasonable assistance using the functionality and procedures available within the service. You remain responsible for responding to requests concerning personal data that you control or process, except where applicable law places the relevant obligation directly on MyBizRoom.
When your use of the service ends, MyBizRoom will handle your business and customer data in accordance with these Terms and the Privacy Policy, including applicable deletion, return, retention and backup requirements. We may retain information where retention is required or reasonably necessary for legal, regulatory, accounting, security, fraud-prevention, dispute-resolution or other lawful purposes.
Nothing in these Terms transfers ownership of your business or customer data to MyBizRoom. You retain your rights in information that you lawfully provide to the service, subject to the limited rights necessary for MyBizRoom to provide, secure, maintain and support the service and comply with applicable law.
Where the service provides an export or download capability for your business data, you may use that functionality to retrieve your data during your active access period, subject to the technical limitations and applicable plan features.
06. Your Responsibilities
You are responsible for the accuracy, legality and appropriateness of information entered into your workspace.
You are responsible for determining whether customer notices, permissions, consents, tax requirements, accounting requirements or other business obligations apply to your operations.
You must not use the service to process information that you are prohibited by law or contract from processing.
07. Free Trial and Subscription Plans
The service may offer a free trial and paid subscription plans as described on the pricing page or within the application.
Trial periods, plan limits and included features are subject to the terms displayed when the relevant plan is offered.
We may change available plans or introduce new plans, subject to applicable notice requirements and the terms applicable to existing subscriptions.
08. Fees and Billing
Paid subscriptions are charged according to the applicable plan, billing cycle and price presented at checkout or otherwise agreed with the customer.
Applicable taxes may be charged where required by law.
You are responsible for providing accurate billing information and ensuring that the selected payment method is authorized for the transaction.
Payment processing is performed through the applicable payment provider and may be subject to that provider's separate terms.
09. Payment Processing
We use payment infrastructure such as Razorpay to process subscription payments and related billing transactions.
Payment-provider identifiers, transaction status, amounts, timestamps and other reconciliation information may be retained as necessary to operate billing.
We do not intentionally store complete payment-card credentials in the application.
10. Cancellation and Refunds
You may cancel a subscription through the available cancellation mechanism or by contacting support where applicable.
Paid subscriptions renew automatically according to the applicable billing cycle unless you cancel before the next renewal. Cancellation stops future renewal but does not automatically reverse amounts that have already been charged.
When you cancel a paid subscription, your access will generally continue until the end of the subscription period that has already been paid for, unless the subscription is suspended or terminated for another reason under these Terms.
Unless otherwise stated for a specific plan or required by applicable law, cancellation does not create an entitlement to a prorated refund for unused time in a billing period.
Refund eligibility depends on the applicable plan terms, payment status, any refund policy presented at the time of purchase, and applicable law. We may approve a refund in appropriate circumstances at our discretion where permitted by law.
Where a full refund is issued for a subscription payment, the related subscription entitlement may be ended immediately and future renewal will be stopped.
Where a refund is approved or processed, the payment provider's processing rules and timelines may also apply.
Any applicable taxes, charges or amounts that are required by law or by the payment transaction may be treated according to the applicable legal and billing requirements.
11. Suspension and Termination
We may restrict, suspend or terminate access where reasonably necessary to address security risks, unlawful activity, abuse, non-payment, material breach of these Terms, or risks to the service or other customers.
Where a breach is capable of being remedied, we will generally provide reasonable notice and an opportunity to resolve the issue before termination where practicable.
We may restrict or suspend access without prior notice where reasonably necessary to protect the security or integrity of the service, prevent fraud or abuse, respond to unlawful activity, address an immediate security risk, or comply with applicable law.
Non-payment and subscription-related suspension or termination may also be handled in accordance with the applicable billing and subscription terms.
Termination or suspension does not remove obligations that by their nature should survive termination, including payment obligations, intellectual-property provisions, confidentiality, disclaimers, limitations of liability and dispute provisions.
12. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.
Availability may be affected by maintenance, upgrades, hosting infrastructure, payment providers, email providers, internet connectivity, security incidents, force majeure events or circumstances outside our reasonable control.
We may temporarily restrict access where necessary to protect the service, perform maintenance or respond to security issues.
13. Third-Party Services
MYBIZROOM SOFTWARE (OPC) PRIVATE LIMITED relies on selected third-party services for functions such as email delivery, payment processing and infrastructure.
Third-party services are governed by their own terms and policies where applicable.
We are not responsible for independent failures or policy changes of third-party providers, although we will take reasonable steps to maintain service continuity where practical.
Service availability may be affected by scheduled maintenance, security measures, infrastructure or third-party service failures, network or connectivity issues, emergencies, or circumstances beyond our reasonable control. We will take reasonable steps to restore affected services and, where practicable, provide notice of planned maintenance that is expected to materially affect availability.
14. Intellectual Property
The MYBIZROOM SOFTWARE (OPC) PRIVATE LIMITED software, website, interface, branding, documentation, design elements and related materials are owned by or licensed to the service operator and are protected by applicable intellectual-property laws.
These Terms do not transfer ownership of the platform or its intellectual property to you.
You receive a limited, non-exclusive, non-transferable right to use the service for your legitimate business operations during the applicable subscription or trial period.
15. Your Data and Our Limited License
You retain your rights in business information and other content that you lawfully provide to the service.
You grant us the limited rights necessary to host, process, transmit, back up, secure and otherwise handle that information solely to provide and improve the service, comply with law, prevent abuse and perform our contractual obligations.
We do not acquire ownership of your customer or business records merely because you store them in the service.
16. Confidentiality
We will use reasonable measures to protect confidential business information provided through the service and will not intentionally disclose it except as needed to provide the service, comply with law, respond to lawful requests, protect the platform, or as otherwise described in the Privacy Policy.
You should not use the service to transmit information that requires a specialized regulated environment unless we have expressly agreed to support that use.
17. Security
We maintain technical and organizational safeguards designed to protect the service and information processed through it.
You are responsible for maintaining the security of your credentials, devices and business processes.
You must promptly notify us if you discover suspected unauthorized access, credential compromise or a security issue affecting your use of the service.
18. Acceptable Use
You must not attempt to gain unauthorized access to the platform, another customer's workspace or internal systems.
You must not interfere with service availability, bypass technical restrictions, introduce malicious code, abuse APIs, probe systems without authorization, or intentionally circumvent subscription limits.
You must not use the service for fraud, unlawful activities, harassment, distribution of malware or content that creates an unreasonable risk to the platform or other users.
19. Feedback
If you voluntarily provide suggestions, feature requests or other feedback about the service, we may use that feedback to improve the product without creating an obligation to compensate you, provided we do not disclose your confidential business information.
20. Disclaimers
The service is provided as a business software tool and does not constitute legal, tax, accounting, financial, compliance or other professional advice.
You are responsible for reviewing business records and decisions produced or supported by the service before relying on them.
Except where expressly required by applicable law, we do not guarantee that the service will satisfy every business-specific requirement or regulatory obligation applicable to your organization.
21. Limitation of Liability
To the maximum extent permitted by applicable law, the service operator will not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, business opportunities or goodwill arising from use of the service.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
Any remaining liability will be assessed in light of the nature of the service, the applicable subscription and the circumstances giving rise to the claim.
22. Indemnity
To the extent permitted by applicable law, you agree to be responsible for claims, losses and reasonable costs arising from your unlawful use of the service, your material breach of these Terms, or your violation of another person's rights through information or content that you provide to the service.
This provision does not require you to indemnify us for losses caused by our own unlawful conduct or obligations that cannot legally be transferred to you.
23. Governing Law
These Terms are intended to be governed by the laws of India, subject to applicable mandatory legal requirements.
Any dispute-resolution process will be handled through the appropriate courts or forums available under applicable Indian law, unless a different mandatory forum applies.
24. Changes to These Terms
We may update these Terms from time to time to reflect changes to the service, our business practices, applicable law, security requirements or other legitimate operational needs.
We will identify the current version and last updated date on this page. Where a change is material to your contractual rights or obligations, we will provide reasonable notice where practicable before the change takes effect.
Changes that are non-material or required to address security, legal or operational matters may take effect when published or on the date stated in the updated Terms.
Your continued use of the service after an updated version becomes effective will constitute acceptance of the updated Terms to the extent permitted by applicable law.
If you do not agree with a material change, you may stop using the service and cancel your subscription in accordance with these Terms and the applicable subscription terms.

Questions about these Terms, subscriptions, support or account matters may be submitted through the Contact Us page on the MyBizRoom website.
We may request account or identity verification before discussing account-specific information.
Where appropriate, we may provide service-related notices, subscription or billing communications, security notices, and other contractual communications electronically, including by email to the address associated with your account or organization.
You are responsible for keeping your account and contact information reasonably current so that important service-related communications can reach you.
